TO FORM A PROFESSIONAL CORPORATION OR PROFESSIONAL LIMITED LIABILITY COMPANY FOR THE PRACTICE OF MEDICINE

Prior to filing Articles of Incorporation, Articles of Organization or an Application for Certificate of Authority with the N.C. Secretary of State’s office you must first receive certification from the North Carolina Medical Board (NCMB), that the Professional Corporation or Professional Limited Liability Company has met all requirements of Chapter 55B of the North Carolina General Statutes and the North Carolina Medical Board’s Rules and Regulations to practice medicine in the state. ANNUAL RENEWAL OF CERTIFICATE OF REGISTRATION

All NCMB registered professional business entities are required to renew their registration annually. The annual renewal is due by December 31. Businesses are sent notification for renewal during the fourth quarter of each year to the address on file with the Medical Board. Failure to renew your registration will be cause for suspension under State Statute NCGS 55B-13.

ISSUE OR TRANSFER STOCK OR OWNERSHIP

All issuance or transfer of stock in a Professional Corporation or issuance or transfer of ownership in a Professional Limited Liability Company requires certification of licensure from the NC Medical Board.

ARTICLES OF AMENDMENT

To file with the Secretary of State Articles of Amendment for your Professional Corporation or Professional Limited Liability Company you must first receive authorization from NCMB.
